The short version. We sell educational software and research — not advice, not signals, not a promise of profit. What you buy is yours to keep and to use, not to resell or redistribute. You get 14 days to change your mind, any reason, full refund; a refund ends your access and the tool license. You are responsible for your own trading decisions, always.

1. What these terms cover

These terms govern cyclicalmarkets.com and everything sold on it by Derek Frazier LLC. By buying or using the products, you agree to them. Contact: info@cyclicalmarkets.com.

2. What we are, and what we are not

Derek Frazier LLC is a publisher of educational material and a maker of analysis software. We are not a registered investment adviser, broker-dealer, or commodity trading adviser. Nothing we publish or sell is investment advice, a recommendation to buy or sell any security, or an offer of securities. We never manage accounts, take custody of funds, or place trades for anyone.

3. No performance promises — the honest part

We do not and cannot promise you any profit, income, or return. Nobody honest can. Trading involves substantial risk of loss, including the loss of everything you put in, and most traders lose money. Every chart, example, and historical illustration we publish shows how the method reads a chart — it is not a signal, not a forecast, and not a typical or expected result. Any simulated or paper-traded activity we show is labeled as simulation and does not represent real fills. You trade your own account, at your own risk, on your own judgment.

4. What you get when you buy

Cycle Pass — DIY: the released digital toolkit and a written quick-start path. It is self-directed: no staff setup, no support tickets, and no technical-completion guarantee.

Cycle Pass — Done-With-You: the same toolkit plus a bounded 30-day setup lane — a setup preflight, a guided setup walkthrough with an AI setup assistant (setup only, never trade direction), up to three staff replies capped at 15 total staff minutes, and one 30-minute staff session if the walkthrough cannot get you to a working setup. It also includes the 90-day guided path. The support lane is a one-time implementation window: it does not renew and does not become a membership.

The exact, current scope and price of everything we sell is stated on the product page at the time of your purchase, and the terms you accept then are the terms you keep.

5. Delivery, and what is still being packaged

Access is delivered immediately after payment, by email and through your toolkit page. Where a component is still being prepared for distribution, the toolkit page says so plainly; those components are delivered as they are ready at no extra cost. We do not promise that every external platform, broker, or data feed will work with your particular setup — the supported path is Windows 10/11 with a current NinjaTrader 8 release on one machine.

6. Refunds

14 days, any reason, full refund, on either Pass option. Ask and it is done — no questions and no hoops. Because the toolkit is downloadable, a refund ends your access and terminates your license to the software, and you must stop using and delete the materials. A refund inside the window also ends the setup lane; staff minutes already used are not deducted from your refund.

7. Your license, and what you may not do

You get a personal, non-exclusive, non-transferable license to use the materials for your own trading and learning, for as long as you hold a valid purchase. You may not resell, redistribute, publish, share, sublicense, or republish the course, the book, the indicators, the journal, or any other component; you may not decompile or reverse-engineer the software; and you may not use the materials to build or operate a competing product or service. The materials remain our intellectual property.

8. Acceptable use

Do not misuse the site or the assistants: no attempts to break access controls, no scraping of gated data, no automated abuse, and nothing unlawful. The AI assistants are for setup and general questions; they will decline personalized trading advice, and that refusal is deliberate.

9. Your responsibilities

Keep your access link private — it unlocks what you paid for. Make your own decisions about your own money. Comply with the rules of your broker, your platform, and your jurisdiction.

10. Availability

We work to keep everything reachable, but we do not guarantee uninterrupted availability of the site, the nightly data, or any third-party service we depend on. Downloadable materials you have already received remain yours regardless.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim relating to the products or this site is limited to the amount you actually paid us for the product the claim concerns. We are not liable for trading losses, lost profits, or indirect or consequential damages. Nothing here limits liability that cannot be limited by law.

12. Governing law

These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. Derek Frazier LLC is a Delaware limited liability company.

13. Changes

We may update these terms; the date at the top changes when we do. Changes never apply retroactively to a purchase you already made — you keep the terms you accepted when you paid.
